Sponsor: SeaSnax Inc., 5976 E. Slauson Ave., Los Angeles, CA 90040 (“Sponsor”)

1. Eligibility: This Mini-Guitar-Giveaway Week of Sep 23 - Sep 29, 2016 (“Mini-Guitar-Giveaway”) is open only to those legal residents of the fifty (50) United States and District of Columbia who post a comment on the SeaSnax Facebook page at http://www.facebook.com/seasnax during the Mini-Guitar-Giveaway Week of Sep 23 - Sep 29, 2016 Entry Period (as defined below), and who are 18 years of age or older as of the date of entry, and who have not previously won a prize from Sponsor in the previous three months. Mini-Guitar-Giveaway is void where prohibited.  Employees of SeaSnax Inc., its affiliates, subsidiaries, advertising and promotion agencies, partner companies and suppliers, (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the Mini-Guitar-Giveaway. The Mini-Guitar-Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

2. Agreement to Rules: By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Sponsor as final and binding as it relates to the content of this Mini-Guitar-Giveaway.

3. Mini-Guitar-Giveaway Week of Sep 23 - Sep 29, 2016 Entry Period: Entries will be accepted online starting on 12:00 AM Pacific Daylight Time on September 23, 2016 and ending 11:59 PM Pacific Daylight Time on September 29, 2016. All online entries must be received by September 29, 2016 at 11:59 PM Pacific Daylight Time.

4. How to Enter: The Mini-Guitar-Giveaway Week of Sep 23 - Sep 29, 2016 must be entered by posting a comment, photo, video or artwork (an “Entry”) on the SeaSnax Facebook page at http://www.facebook.com/seasnax during the Mini-Guitar-Giveaway Week of Sep 23 - Sep 29, 2016 Entry Period. A Facebook account is required to enter and is available for free at http://facebook.com. All terms and conditions of Facebook.com apply. Limit one (1) entry per person accepted during the Mini-Guitar-Giveaway Entry Period. The entry must fulfill all Mini-Guitar-Giveaway requirements, as specified herein, to be eligible to win a prize. Entries that are incomplete or do not adhere to these Official Rules or specifications may be disqualified at the sole discretion of Sponsor. You may enter only once for this Mini-Guitar-Giveaway. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. If You use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Sponsor.

- The Entry may not contain any content that is lewd, obscene, sexually explicit, pornographic or contains nudity, disparaging, defamatory, derogatory toward any ethnic, racial, gender, religious, professional or age group, libelous, obscene, or that otherwise contains inappropriate content or objectionable material as determined by Sponsor in its sole and unfettered discretion.

- The Entry must not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), promote any activities that may appear unsafe or dangerous or promote any particular political agenda or message.

- The Entry must not defame, misrepresent or contain disparaging remarks about Sponsor, other people or companies.

- The Entry must be your original work, created solely by you, and must not infringe the copyright, trademark, privacy, publicity, or other intellectual rights of any person or entity, including, without limitation, copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media).

- If individuals are included in your photo, you must provide all signed releases and consents necessary (if requested by Sponsor) to permit the exhibition and use of the Entry by Sponsor as set forth in these Official Rules. If any person appearing in your Entry is under the age of majority in his/her state, the signature of a parent or legal guardian is required on the release (if requested by Sponsor).

- The Entry must not contain any personally identifiable information such as license plate numbers, personal names, e-mail addresses or street addresses.

- The Entry must not contain the likeness of any person without the consent of the person whose likeness is included in the Entry.

- The Entry may not identify any commercial content, including, without limitation, any trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, except for SeaSnax Inc., which must be used in compliance with these Official Rules.

- The Entry must not contain materials embodying the names, likenesses, voices, or other indicia identifying any celebrities.

- The Entry must not communicate messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to associate.

- The Entry must not violate any law.

- The Entry may not have been previously submitted for any other promotion, published and may not have won previous awards.

By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Entry for any reason at any time, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion. In addition, and although Sponsor is under no obligation to re-post or feature your Entry, you hereby grant permission for the Entry to be featured on SeaSnax social media sites, and within other promotions and/or advertisements without prior approval, consent or compensation to you or any third party and within any time frame. You agree that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third parties. Released Parties do not guarantee the posting or featuring of any Entry and reserve the right to remove any posted or featured Entry at any time and/or for any reason. By submitting your Entry, you accept all Sweepstakes Official Rules and agree to be bound by the decisions of the Sponsor, which will be final. You agree that you will not use the Entry for anything other than personal use after Entry submission, including no use of the Entry for commercial or professional purposes, sweepstakes or contest entry, without the express consent of Sponsor in each instance.

By submitting an Entry, each entrant grants, and represents and warrants that the entrant has the rights and authority necessary to grant Sponsor an irrevocable, non-exclusive, fully sublicensable license and right to exploit, edit, modify, adapt, copyright, publish, transfer, use and distribute the Entry and all elements of such Entry, including, without limitation, the likenesses of any locations and individuals embodied therein, in any and all media now known or hereafter devised, worldwide, in perpetuity without compensation, permission or notification to entrant or any third party.

Multiple entrants are not permitted to share the same Facebook account. Any attempt by any entrant to obtain more than the above-stated number of Entries by using multiple/different Facebook accounts/usernames, identities, registrations and logins, or any other methods will void that entrant’s Entries and that entrant will be disqualified. Sponsor will not verify receipt of Entries. Automated, script, or macro Entries are prohibited, and any use of such automated devices or programs, or any method which subverts the entry process, will cause disqualification. Released Parties (as defined below) are not responsible for lost, late, garbled, inaccurate, incomplete, misdirected or stolen Entries, uploads, photos, hashtags or @mentions, or transmissions, or problems of any kind whether mechanical, human or electronic. In the event of a dispute of any Entry, the authorized account holder of the Facebook account used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned a Facebook account by Facebook. Potential winners may be required to show proof of being an authorized account holder.

5. Prizes: One Winner of the Mini-Guitar-Giveaway (the “Winner”) will receive One (1) Hohner HAG-250P Mini/Kids Classical Guitar, approximate retail value of $49.99. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by Sponsor. No cash or other prize substitution shall be permitted except at Sponsor’s sole discretion. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of prize constitutes permission for Sponsor to use Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

6. Odds: The odds of winning depend on the number of eligible entries received.

7. Winner Selection and Notification: Winner will be selected by a random drawing under the supervision of Sponsor. Winner will be notified by Facebook message within 48 hours following selection of Winner. Sponsor shall have no liability for Winner’s failure to receive notices due to spam, junk e-mail or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize within 48 hours from the time award notification was sent, or fails to timely return a completed and executed declaration and release as required, the prize may be forfeited and an alternate Winner selected.  Receipt by Winner of the prize offered in this Mini-Guitar-Giveaway is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT SPONSOR’S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CAMPAIGN, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by You: By entering this content (e.g., photo, video, text, etc.), You understand and agree that Sponsor, anyone acting on behalf of Sponsor, and Sponsor’s licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Mini-Guitar-Giveaway, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notice, review, or consent. By entering this content, You represent and warrant that your entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If your entry infringes upon the intellectual property right of another, You will be disqualified at the sole discretion of Sponsor. If the content of your entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, You shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless Sponsor from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which Sponsor may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.

9. Terms & Conditions: Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Mini-Guitar-Giveaway should virus, bug, non-authorized human intervention, fraud, or other cause beyond Sponsor’s control corrupt or affect the administration, security, fairness, or proper conduct of the Mini-Guitar-Giveaway. In such case, Sponsor may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Mini-Guitar-Giveaway or website or violates these Terms & Conditions. Sponsor has the right, in its sole discretion, to maintain the integrity of the Mini-Guitar-Giveaway, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Mini-Guitar-Giveaway Official Rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Mini-Guitar-Giveaway may be a violation of criminal and civil laws. Should such attempt be made, Sponsor reserves the right to seek damages to the fullest extent permitted by law.

10. Limitation of Liability: By entering, You agree to release and hold harmless Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partner companies, Facebook and their respective representatives, agents, successors, assigns, employees, officers, shareholders and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Mini-Guitar-Giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Mini-Guitar-Giveaway; (v) electronic or human error in the administration of the Mini-Guitar-Giveaway or the processing of entries.

11. Disputes: THIS Mini-Guitar-Giveaway IS GOVERNED BY THE LAWS OF the United States of America AND your state, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Mini-Guitar-Giveaway, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Mini-Guitar-Giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in your state/province having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Mini-Guitar-Giveaway). Participant further waives all rights to have damages multiplied or increased.

13. Winners List: To obtain a copy of the Winner’s name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: SeaSnax Inc., 5976 E. Slauson Ave., Los Angeles, CA 90040. Requests must be received no later than October 30, 2016, 11:59 PM, Pacific Standard Time.
